CAFOO BUYING AND SELLING OF REAL ESTATE CO. L.L.C

1. Parties & Acceptance

This Agent Partnership Agreement is entered into between CAFOO BUYING AND SELLING OF REAL ESTATE CO. L.L.C (Cafoo), operating cafoo.ae, and you, the individual applying for or approved as a real estate agent on the Cafoo platform ("Agent", "you"). By accepting this Agreement, you confirm that you have read, understood, and agree to be bound by all terms below.

2. Nature of This Agreement

This is an Agency-to-Agent (A2A) agreement governing your relationship with Cafoo as a platform partner — not an employment contract. Cafoo provides technology, marketing infrastructure, lead management tools, and platform access. You remain an independent licensed professional responsible for your conduct, listings, and client relationships. This Agreement supplements Cafoo's general Terms of Service and Privacy Policy.

3. Application, Verification & Approval

Acceptance of this Agreement does not automatically grant you Agent status or access to Cafoo's admin panel. Upon acceptance, your account is created with User access only and your application is marked as Pending Agent Review. Cafoo may verify your identity, licensing, and professional background by phone, WhatsApp, or email before approval. Cafoo may approve, reject, or request additional documentation at its sole discretion. Until approval, you must not represent yourself as an authorised Cafoo agent.

4. Eligibility & Licensing

You represent and warrant that:

  • You are at least 18 years of age and legally capable of entering binding contracts under UAE law.
  • You hold a valid real estate broker or agent licence issued by the relevant UAE authority (including RERA/Dubai Land Department or equivalent).
  • You maintain a valid ORN and, where applicable, BRN, and will provide certified copies upon request.
  • You possess all Trakheesi permits, Form A, Form B, or other documentation required by DLD, RERA, and applicable UAE regulations for every property you list or transact through Cafoo.
  • If acting on behalf of a brokerage firm, you have written authority from that firm to enter this Agreement.
  • You will immediately notify Cafoo if your licence, ORN, BRN, or any required permit is suspended, revoked, expired, or modified.

5. Your Responsibilities as an Agent

You agree that you will:

  • Publish listings only for properties genuinely available for sale or lease with valid marketing authority from the owner.
  • Ensure every listing is fair, complete, and accurate (price, size, amenities, furnishing, service charges, availability).
  • Publish only one listing per property on Cafoo.
  • Immediately update or remove a listing when a property goes under offer, is sold, leased, or withdrawn.
  • Obtain and maintain all required DLD/RERA permits before publishing; provide certified proof within 48 hours upon request.
  • Respond to Cafoo leads promptly and professionally; identify Cafoo-originated leads to your team and clients.
  • Treat client and lead information as confidential and use it only for legitimate real estate purposes.
  • Comply with all Applicable Laws, RERA regulations, DLD circulars, UAE PDPL, AML requirements, and Cafoo guidelines.
  • Act in good faith and not mislead, pressure, or discriminate against any person.

6. Platform Access & Acceptable Use

Upon approval, Cafoo grants a limited, non-exclusive, revocable licence to access the Agent panel for authorised real estate activities. You must keep credentials confidential and must not: share admin access with unverified third parties; scrape or extract Cafoo data without consent; use bots or unauthorised API access; upload malware or attempt unauthorised access; use Cafoo branding externally without written approval; impersonate any person or entity. Cafoo may monitor platform usage and lead interactions for quality assurance, training, fraud prevention, and compliance.

7. Content & Listing Quality

All content you upload must be accurate, current, not misleading, and owned or properly licensed. You grant Cafoo a worldwide, royalty-free, irrevocable licence to use, reproduce, display, and distribute your content on cafoo.ae and affiliated channels. Cafoo may review, edit, reject, or remove any listing or content that violates this Agreement or Applicable Law without prior notice.

8. Fees & Commission

Your commission structure, referral fees, or revenue-sharing arrangement with Cafoo (if any) will be communicated separately in writing or via the admin panel upon approval. Unless otherwise agreed, you are responsible for your own telecommunications, internet, and operational costs.

9. Suspension & Termination

Cafoo may suspend, limit, or terminate your Agent access immediately if you breach this Agreement; your licence or permits expire or are revoked; you publish false or unauthorised listings; you fail to respond to compliance requests within 7 days; you engage in fraud or conduct harmful to Cafoo's reputation; or Cafoo receives credible complaints from clients, owners, or regulatory bodies. Upon termination, admin access is revoked and listings may be removed.

10. Indemnity & Limitation of Liability

You agree to indemnify Cafoo from claims arising from your breach of this Agreement, your listings or client interactions, or violation of Applicable Law. Cafoo provides the platform on an "as is" basis, does not guarantee minimum leads or income, and shall not be liable for indirect or consequential damages to the fullest extent permitted by UAE law.

11. Governing Law & Amendments

This Agreement is governed by the laws of the Emirate of Dubai and the Federal Laws of the United Arab Emirates. Disputes are subject to the exclusive jurisdiction of the courts of Dubai. Cafoo may update this Agreement from time to time; material changes will be communicated via email or platform notification.
